AAOE Membership Approves Alliance Bylaws

The membership of the American Association of Orthopaedic Executives, meeting in San Francisco on June 12, 2016, voted unanimously to approve the bylaws of a parallel membership organization with a 501(c)(6) tax status that will focus on health policy and advocacy activities to advance the profession of orthopaedic practice management in Washington, DC. The AAOE, which maintains a 501(c)(3) tax status as an educational organization, will continue to provide educational services. As the environment in DC has become more unfriendly to healthcare providers, members of the AAOE determined that expanded advocacy should be one of the strategic objectives of the AAOE in 2015 and beyond.

In order to accommodate this objective, the AAOE Board of Directors reviewed the recommendations of outside expert legal counsel and AAOE staff and determined that the limitations placed on 501(c)(3) lobbying represented a direct threat to AAOE’s tax status if the organization was going to pursue the advocacy objective created at AAOE’s strategic planning retreat. In order to protect the Association’s tax status, the Board of Directors voted to create the American Alliance of Orthopaedic Executives on November 18, 2015 with the stipulation that members would vote on the bylaws governing the new organization.

All members will remain members of the 501(c)(3) educational organization which will continue to provide continuing education. Members will also be members of the 501(c)(6) organization which will focus on federal and state health policy issues. “The change will be largely unnoticeable to members as most of the changes will be administrative in nature as functions are moved over to the Alliance and the Association keeps its focus on education,” AAOE President Jan Vest, MBA told participants on one of the four town halls held by AAOE to announce the changes.
